2. Scope and subject matter
2.1 These General Terms and Conditions ("GTC") apply to account registration and to all purchases of goods made through this portal.
2.2 This portal is intended exclusively for businesses. We do not sell to consumers. By registering, you confirm that you are acting in the exercise of your commercial or professional activity.
2.3 These GTC govern the contractual relationship between you and us exclusively. Your own terms and conditions do not become part of the contract, even if we do not expressly object to their inclusion.
2.4 These GTC can be accessed at any time and may be printed and downloaded.
3. Registration and partner account
3.1 Registration is required in order to see prices and to place orders. Registration alone does not create an entitlement to a partner account; we review each application and decide at our discretion whether to approve it.
3.2 Only legal entities, partnerships and sole traders acting in a commercial capacity may register. Where registration is carried out on behalf of a company, the person registering warrants that they are authorised to represent that company.
3.3 When registering you must provide the details requested in the registration form and choose a password (the "access data").
3.4 You submit a binding application for an account by sending the completed registration form. Before final submission, a summary of your entries is displayed. You may correct input errors by navigating back in your browser and amending the relevant entries.
3.5 The account contract is concluded when we notify you that your application has been approved and your account has been activated. We are not obliged to give reasons for declining an application.
3.6 You warrant that the information provided on registration is true and complete. If you provide incorrect or incomplete information, we are entitled to terminate and delete your account without notice. You undertake to inform us without undue delay of any subsequent changes to the details provided on registration.
3.7 You are under no circumstances entitled to disclose your access data, and in particular your password, to third parties. If a third party nevertheless gains access to your account, or if you have any other indication that your account is being misused, you must inform us immediately and change your access data.
3.8 You are not entitled to register more than once.
4. Conclusion of purchase contracts
4.1 Contracts for the purchase of goods are concluded as follows:
4.1.1 To begin the ordering process, place the desired item in the shopping cart by clicking the relevant button.
4.1.2 Before the order is finally submitted, the entire content of the order is displayed again and can still be amended.
4.1.3 By submitting the order you make a binding offer to conclude a purchase contract. The display of products in the portal does not itself constitute a binding offer. We confirm receipt of your order by e-mail. That acknowledgement of receipt does not yet constitute acceptance of your offer. The purchase contract is concluded upon our order confirmation or upon dispatch of the goods, whichever occurs first.
4.2 Your order data can be printed immediately after submission. Registered partners can also view their orders in their account. If you require a further copy of your order documents, please contact us by e-mail.
4.3 Orders may be amended until the goods have left our warehouse or have been handed over to a carrier.
4.4 We reserve the right to withdraw from the contract if the goods are unavailable through no fault of our own despite a corresponding covering transaction with a carefully selected and reliable supplier. In such a case we undertake to inform you without undue delay of the unavailability and to refund any payments already made without undue delay.
5. Delivery, stock and production
5.1 Availability information shown in the portal distinguishes between goods available from stock and goods scheduled for production. Production dates and quantities shown are estimates based on our current planning and are not binding delivery dates unless expressly agreed in writing.
5.2 Where a minimum order quantity applies to an item, this is indicated in the portal.
5.3 We are entitled to make partial deliveries where this is reasonable for you.
6. Passing of risk and transport
The risk of accidental loss and accidental deterioration of the goods passes to you when the goods are handed over to the person carrying out the transport, or when the goods leave our warehouse for the purpose of dispatch, whichever occurs first.
7. Receipt of goods and transport damage
7.1 We use parcel and freight carriers to dispatch your order. Should a delivery arrive damaged, we ask that you notify the damage to the carrier's employee immediately where possible and document the nature and extent of the damage.
7.2 You may refuse to accept damaged goods. Please contact us by e-mail in the event of a damaged delivery. This helps us to enforce our claims against the carrier and to improve our service to you.
7.3 You must inspect the goods on receipt and notify us of any obvious defects, shortfalls or incorrect deliveries in writing without undue delay. Defects that are not apparent on inspection must be notified in writing without undue delay after discovery.
8. Prices, invoicing and payment
8.1 All prices shown in the portal are net prices in EUR, exclusive of value added tax.
8.2 Prices are quoted ex works, including standard packaging and exclusive of carriage, insurance and any customs charges, unless expressly agreed otherwise.
8.3 Value added tax is applied in accordance with the applicable statutory provisions. For intra-Community supplies to businesses holding a valid VAT identification number, the statutory conditions for exemption must be met; you are responsible for providing a valid VAT identification number and for notifying us of any change to it.
8.4 The price applicable is the price shown at the time of the order and stated in the order confirmation.
8.5 Payment is made against invoice in accordance with the payment terms agreed with you. Unless otherwise agreed, invoices are due for payment without deduction within the period stated on the invoice.
8.6 You agree to receive invoices exclusively in electronic form.
8.7 In the event of late payment we are entitled to charge statutory default interest. We reserve the right to make further deliveries subject to advance payment where payments are outstanding.
9. Retention of title
9.1 We retain title to all delivered goods until all our present and future claims arising from the purchase contract and from an ongoing business relationship with you ("secured claims") have been settled in full.
9.2 You are obliged to treat goods subject to retention of title with care.
9.3 Goods subject to retention of title may not be pledged to third parties or assigned as security before the secured claims have been paid in full. You must notify us in writing without undue delay if and to the extent that third parties gain access to goods belonging to us.
9.4 Where the realisable value of our security exceeds the secured claims by more than 10%, we are obliged to release security at your request. We select the security to be released.
9.5 Any processing or transformation of the delivered goods by you is always carried out on our behalf. If the delivered goods are processed with other items not belonging to us, we acquire co-ownership of the new item in proportion to the value of the delivered goods (final invoice amount including VAT) relative to the processed items at the time of processing. In all other respects, the same applies to the item created by processing as to the goods delivered subject to retention of title.
9.6 If the delivered goods are inseparably mixed with other items not belonging to us, we acquire co-ownership of the new item in proportion to the value of the delivered goods (final invoice amount including VAT) relative to the other mixed items at the time of mixing. If the mixing occurs in such a way that your item is to be regarded as the principal item, it is agreed that you shall transfer co-ownership to us on a pro rata basis. You shall hold the resulting sole ownership or co-ownership in safe custody for us.
10. Term, suspension and termination of the account
10.1 The account contract is concluded for an indefinite period.
10.2 You may terminate the account contract at any time without notice.
10.3 We may terminate the account contract by giving two weeks' notice.
10.4 The right to terminate without notice for good cause remains unaffected. We may in particular terminate the account contract without notice if:
- you have provided incorrect or incomplete information on registration;
- you repeatedly breach other contractual obligations and fail to cease the breach after being requested to do so by us;
- payments owed to us remain outstanding after a reminder.
10.5 Where we have terminated the contract, you have no claim to the creation of a new account, whether under a different name or designation.
10.6 Termination must be given in writing. Termination by e-mail satisfies the written form requirement.
11. Warranty
11.1 The statutory provisions apply to your rights in respect of defects in quality and defects in title, unless otherwise specified below.
11.2 Warranty claims in respect of new goods become time-barred one year after the passing of risk.
11.3 Liability for defects in used goods is excluded. This does not apply in cases of gross negligence or intent.
11.4 In the event of a valid warranty claim you are entitled, at our option, to rectification of the defect or delivery of goods free from defects (subsequent performance). If the chosen form of subsequent performance involves disproportionate cost, the claim is limited to the remaining form of subsequent performance.
11.5 Where you claim removal and installation costs in connection with the replacement of a part newly supplied by us under warranty, we ask you to submit the original documentation. Please ensure that the invoice lists only work directly connected with the rectification of the defect, and that labour values are itemised by hours.
11.6 For the avoidance of doubt, the following circumstances do not constitute a defect where they are the cause of the fault:
- normal wear and tear;
- improper use;
- inadequate or incorrect care of the goods;
- unsuitable or improper application, including overloading of the vehicle;
- incorrect installation, in particular where the part ordered is evidently not the correct one;
- failure to observe application instructions;
- incorrect handling.
12. Verification of fitment
Despite all due care, incorrect deliveries can occur in individual cases. You are therefore obliged, before installing an item, to verify by visual comparison with the original part being replaced whether the part ordered is in fact the correct one for the vehicle concerned (for example, correspondence of bore holes, eyes and mountings). If the purchased part visibly differs from the original part in its dimensions, form or material, please contact us for clarification before installing, adapting or modifying the part. Your warranty claims are not affected by this provision.
13. Manufacturer guarantees
Where a separate manufacturer guarantee exists which you may claim in addition to the statutory warranty, this is indicated in the relevant product description. Such a guarantee applies only to the product concerned, and your claims are governed by the manufacturer's guarantee conditions and exist exclusively against the manufacturer.
14. Liability for damages
14.1 We are liable without limitation for intent and gross negligence, and for damage arising from injury to life, body or health.
14.2 In cases of slight negligence we are liable only for breach of a material contractual obligation. A material contractual obligation within the meaning of this clause is an obligation the fulfilment of which makes the proper performance of the contract possible in the first place and on the fulfilment of which the contracting party may therefore regularly rely.
14.3 We are not liable for lack of commercial success, loss of profit or indirect damage.
14.4 Liability is limited to the damage typical and foreseeable at the time the contract was concluded.
14.5 The limitations of liability apply accordingly in favour of our employees, agents and vicarious agents.
14.6 Any liability for guarantees given by us and for claims under applicable product liability legislation remains unaffected.
14.7 In all other respects, our liability is excluded.
15. Final provisions
15.1 This contract is governed by the law of Hungary, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
15.2 The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Budapest, Hungary.
15.3 We are entitled to amend or adapt these terms during the term of the contract with effect for the future where this becomes necessary for a compelling reason, such as a change in legislation or case law. We will send you the amended terms in text form before their intended entry into force and will draw your attention to the new provisions and the date of entry into force. At the same time we will grant you a reasonable period of at least four (4) weeks in which to declare whether you accept the amended terms for the continued use of our services. If no declaration is made within that period, which begins on receipt of the notification in text form, the amended terms are deemed to have been agreed. We will separately draw your attention to this legal consequence at the start of the period.
15.4 The invalidity of individual provisions does not affect the binding nature of the remaining clauses.
15.5 Where these terms are provided in more than one language, the German version prevails.
